The resolution shallfurther certify that its M anaging M em ber is authorized to take these actions and that a11 corporate form alities required for such authorization have been observed. The defendant ar ees that its

M anaging M ember shall appear on behalf of the com pany to enter the guilty plea and for imposition ofthesentencein theUnited StatesDistrictCourtforthe Southern DistrictofFlorida. ln consideration of the undertakings herein,M ason expressly agrees thatitshall not,tluough a business transaction of any type,including butnot lim ited to,a change ofnam e, businessreorganization,sale orpurchase ofassets,divestiture ofassets,orany sim ilaraction,seek to avoid the obligations and conditions set forth in this plea am eem ent. Sentencing Guidelinesand Penalties The defendant is aware that the sentence will be imposed by the court aher

considering the FederalSentencing Guidelinesand Policy Statements(hereinafteritsentencing Guidelinef'). The defendantacknowledges and understands thatthe courtwillcompute an advisory sentence under the Sentencing Guidelines and that the applicable guidelines willbe determ ined by the courtrelying in parton the resultsofaPre-sentence lnvestigation by the court's probation office,which investigation w illcom m ence afterthe guilty plea has been entered. The

defendantisalso aware that,undercertain circumstances,thecourtmay departfrom the advisory sentencing guideline range thatit has com puted,and m ay raise or low er that advisory sentence

underthe Sentencing Guidelines. Thedefendantisfurtheraware and understandsthatthe court isrequired to consider the advisory guideline range detenuined under the Sentencing G uidelines,

butisnotbound to impose thatsentence;the courtispennitted to tailortheultim ate sentence in lightofotherstatutory concerns,and such sentencem ay be eithermoresevereorlessseverethan the Sentencing Guidelines'advisory sentence. Knowing these facts,the defendantunderstands and acknowledgesthatthecourthastheauthority to im poseany sentencewithin and up to the

statutory m axim um authorized by 1aw for the offense identified in Section I.A and that the defendantmay notwithdraw thepleasolely asaresultofthesentenceim posed. B.

The defendantalso understandsand acknowledgesthatthe Sentencing Guidelines

advisoryprovisionsrelatingtothesentencingoforganizations(ChapterEight)donotapplytothe imposition offines for environm entalcrim essuch asthatcharged in Count 1. See Sentencing

Guidelines Section 8C2.1 (Commentary-Backvound). The parties agree thatthe statutory maxim um am ountofthetinetobeimposed underthestatutecharged in Count1isthegreatestof:

$200,000,Title18,UnitedStatesCode,Section 3571(c)(5),ortwicetheposspecuniarygainor mosslossresulting from theoffense,pursuantto Title18,United StatesCode,Section 3571(d).

Thedefendantalsounderstandsthatitmaybesubjecttoaterm ofprobationofnotmorethan tive yearswithrespecttoCount1. Title18,UnitedStatesCode,Section3561(c)(2). Thedefendant further understands the Courtm ay order restitution to any ascertainable victim of the offense conductpursuantto Title 18,United States Code,Section 3663 and Sentencing G uidelinesSection 5E 1.1.

The defendant further understands and acknowledges that, in addition to any

sentence imposed under this ap eem ent,a specialassessm entin the amountof $125.00 willbe im posed on the defendant,payable to the dtclerksUnited States DistrictCourt''atthe time of

Thedefendantisawarethatthesentencehasnotyetbeen determ ined by thecourt.

Thedefendantalso isawarethatany estimateoftheprobablesentencingrangeorsentencethatthe defendantmay receive,isaprediction,notaprom ise,and isnotbinding on the United States,the

probation office orthe court. The defendantfurtherunderstandsthatany recom mendation that theUnited Statesmakesto the courtasto sentencing,whetherpursuantto thispleaaw eem entor otherwise,is notbinding on the courtand the courtmay disregard the recomm endation in its entirety. Thedefendantunderstandsand acknowledges,aspreviously acknowledged in Section III.A.above,thatthe defendantm ay notwithdraw itsplea based upon the court'sdecision notto accept a sentencing recomm endation m ade by the defendant, the United States, or a

recommendationmadejointlybyboththedefendantandtheUnitedStates. E.

TheUnited Statesreservesthelightto inform thecourtand theprobation officeof

al1facts pertinentto the sentencing process,including a11relevantinform ation concem ing the offenses comm itted,whether charged or not, as well as concerning the defendant and the

defendant's background. Subjectonly to the express terms ofany agreed-upon sentencing recomm endationscontained in thisplea agreem ent,theUnited Statesfurtherreservesthe rightto makeany recom mendationsasto the quality and quantity ofpunishment.

IV .

Sentence Recom m endation

The United States and the defendant ap ee that, although not binding on the probation

ofticeorthecourt,they willjointly recommend to thecourtthatundertheadvisory Sentencing Guidelinesthe following findingsand conclusionswould correctly representthe calculation ofa reasonable and appropriate sentence. Further,neitherparty shalladoptnor argue any position with resped to sentencing in thismattercontrary to thefollowingrecomm endations: A.

The parties agree to recom m end that the defendant be placed on organizational probation fora period of five years;

B.

The parties agree to recom m end,as a special condition of probation,that the

defendantretain the servicesofaconsultantand/oremployeeto assessthepolicies and procedures regarding the application for and compliance with applicable

perm its, and that defendant will establish, implem ent, and enforce an

EnvironmentalCompliancePlan (hereinafterreferredto asthettECP'')consistent with Sentencing Guidelines Section 8B2.1. The ECP shall include training requirem entsforal1em ployees. C.

Thepartiesap ee thatpursuantto Title 18,United StatesCode,Section 3571 and

in consideration ofthe factorsenum erated in Title 18,United StatesCode,Section

3572,imposition ofa criminaltine of$15,000.00,payable to the ltclerk,United StatesDistrictCourt''isappropriate undertherelevantcircumstancesofthiscase. The partiesam ee to recomm end thatthe fine be paid according to a reasonable paym entschedule.

ExpressW aiverofRil tto AppealGuiltv Pleaand Sentence

The defendant is aware that Title 18,United States Code, Section 3742 affords the defendanttherightto appealthesentenceim posed in thiscase. Acknowledging this,in exchange

fortheundertakingsm adebytheUnited Statesin thispleaagreem ent,thedefendantherebywaives al1rights conferred by Section 3742 to appealany sentence imposed,including any restitution order,ortoappealthem armerin which thesentencewasim posed,unlessthesentenceexceedsthe

m axim um penuitted by statute oris theresultofan upward departure and/ora variance from the guideline range thatthe courtestablishes atsentencing, The defendantfurtherunderstands that nothing in thisap eem entshallaffectthe United States'rightand/orduty to appealassetforth in
