RULES OF THE ORGANIZATION GAME 1.

Name and objectives

1.1

The organization is an association.

1.2

The name of the organization is GAME, founded on 26 October 2002.

1.3

The organization is domiciled in the City of Copenhagen.

1.4

GAME's objectives are, on a non-profit basis, to make street sport and street culture accessible to all, in particular to promote health and create inclusion and social progression among children and young people.

1.5

The organization can operate locally, nationally and internationally and establish suborganizations all over the world with or without independent boards of directors. The organization can cooperate with other organizations according to guidelines determined by GAME's board of directors. The organization may have parts of its work performed in independent legal units, including non-profit commercial foundations if it promotes the objectives in 1.4.

The organization cannot take political or religious stands. The same applies to its members on behalf of the association.

2.

Members

2.1

Anybody with an interest in GAME and its objectives can be admitted to the organization. Active membership provides the opportunity to play in one or more of the organization's GAME Zones with permanent continuous training. The conduct of the member must be in compliance with the guidelines of the coach or his/her substitute. If these guidelines are not observed, this may result in expulsion. Expulsion means that the member is automatically deleted from GAME's list of members. Expulsion does not give the right to have any membership fee paid back, neither in whole nor in part.

2.2

Enrolment can take place only by handing in a signed enrolment form to the board of directors or through http://gamedenmark.org and subsequent payment of the membership fee.

2.3

Withdrawal can take place only by contacting the organization, if required through http://gamedenmark.org no later than 14 days before the next collection of membership is due for payment. In the event of withdrawal, no compensation is given for paid membership fees.

3.

Local branches

3.1

In municipalities where GAME has one or more activities, a local branch is established. The members of the local branch are active GAME members in the local municipality.

3.2

Every local branch is managed by a branch board of directors of 3-5 members.

3.3

GAME's board of directors approves standard local branch rules which must apply to all local branches.

3.4

Following recommendation from the management team, GAME's board of directors sets out the frames of the local branches' work, activities and economy.

4.

Board of representatives

4.1

The members of the organization and others interested in promoting the objectives of the organization can become members of the organization's board of representatives. In addition to representing the interests of the members, the board of representatives must form the organization's roots in the community.

4.2

Everyone can be recommended for or recommend themselves for election to the board of representatives through a written reasoned application with a CV. The board of directors decides by simple majority if a person will be admitted to the board of representatives. Each of the local branches mentioned in clause 3 will appoint two members to the board of representatives. Admission/appointment takes effect from the next annual general meeting.

4.3

The board of representatives comprises up to 40 persons plus the local branch members mentioned in clause 4.2, who jointly represent the organization's stakeholders and diversity. The board of directors keeps an updated list of names and e-mail addresses of members of the board of representatives. Members of the board of directors are inherent members of the board of representatives.

4.4

The board of representatives functions as a link between GAME's members and the overall strategic leadership and the management team. The board of representatives discusses once or twice a year the ongoing activities of the association, including the board of directors' proposals for an action plan for the coming year(s).

5.

General meeting

5.1

The supreme authority of the organization is the general meeting. The board of directors convenes the annual general meeting giving at least four weeks' notice, and the meeting is held every year before the expiry of April. The notice convening the meeting is sent electronically to the members of the representatives and is published at gamedenmark.org. Proposals requested to be considered during the general meeting must be received no later than 14 days before the annual general meeting.

5.2

Any decision is made by a simple majority of votes. However, amendment of the rules requires that at least six tenths of the members of the board of representatives present will vote in favor of the proposal.

5.3

Voting rights may only be exercised by appearance in person. Persons in arrears with membership fee have no voting rights.

Annual general meeting

6.1

Agenda of the annual general meeting: 1. Election of chairman of the meeting and keeper of the minutes. 2. The chairman's report. 3. Presentation of the audited financial statements for adoption. Budget for the next financial year is presented. 4. Any motions from the board of directors or others, including the establishment of working groups. The motions must be described briefly together with the notice convening the annual general meeting. 5. Election of members to the board of directors. 6. Appointment of a state-authorized public accountant or a registered public accountant for one year. 7. Any other business.

Minutes of the annual general meetings are prepared, and signed by the chairman of the meeting

Extraordinary general meeting

7.1

Extraordinary general meetings can be convened by the board of directors giving four weeks' notice and must be convened at the same notice if at least one third of the voting members of the board of representatives demands so in writing. Such demand must be accompanied by the requested agenda.

8.

Membership fee

8.1

The membership fee and terms of payment are determined by the board of directors.

9.

Dissolution of the organization

9.1

A decision to dissolve the association may only be made at a general meeting where at least four fifths of the persons attending vote in favor of the proposal.

10.

The organization's assets on dissolution

10.1 On dissolution, any liquidity proceeds will accrue to another association etc. resident in this country or in another EU/EEA country and which has a generally charitable or otherwise non-profit objectives corresponding to the objectives specified in clause 1.4.

Board of directors

11.1 The association's overall strategic management is handled by the board of directors. The board of directors comprises six to ten members, six are elected by the annual general meeting. For the purpose of ensuring that the board of directors at all times has the required complementary skills corresponding to the needs of the organization, the board of directors may appoint up to four members of the board of directors. The board of directors will elect a chairman and a vice chairman. 11.2 The members of the board of directors are elected for a two-year period, and three members will resign in odd years, and three members in even years. The members appointed by the board of directors are appointed for two years at a time. Members of the board of directors may be re-elected, or re-appointed, but may not be members of the board of directors for more than a consecutive period of 10 years. Members of the board of directors may be elected or re-appointed, respectively, when afterwards they have not had a seat on the board of directors for two years.

12.

The work of the board of directors

12.1 The board of directors is responsible that the organization is managed in compliance with the objectives clause of the organization and the decisions made by the annual general meeting. 12.2 Board meetings are held at the decision of the board of directors. A member of the board of directors, the management team and the auditor may request that a board meeting is convened. 12.3 Further, the board of directors may establish committees for handling special assignments. The committees are responsible to the board of directors. 12.4 It is sought to hold four ordinary board meetings a year.

13.

Decisions by the board of directors

13.1 Decisions are made by a simple majority. The board of directors forms a quorum when at least half of the members of the board of directors are present, including electronically. Decisions can also be made on a written basis (e-mails) or through conferences calls at the board of directors' decision. In the event of an equality of votes, the chairman has the casting vote. In the absence of the chairman, the vice chairman takes the place of the chairman in every respect.

14.

Day-to-day management

14.1 To support the work of the organization, the board of directors engages a management team. The management team hires the other personnel according to the budget approved by the board of directors. 14.2 The management team's duties and authority are determined in a functions and job description which is updated on an ongoing basis.

15.

Powers to bind the organization

15.1 The association is bound by the joint signatures of the chairman or the vice chairman with the management team or by two members of the board of directors or by the entire board of directors.

16.

Financial year

16.1 The financial year of the organization is 1 January to 31 December. The financial statements are audited by a state-authorized public accountant or by a registered public accountant.

17.

Expulsion of members

17.1 A member who is in arrears with his/her membership fee is deleted from the list of members. Re-enrolment may take place by payment of the amount in arrears. 17.2 A member may be expulsed from the organization if the said member acts contrary to the objectives and guidelines of the organization in such a way that it may damage the trust in the organization. 17.3 A decision on expulsion is made by the board of directors and the member is notified in writing. 17.4 A member who has been expulsed for the latter reason is entitled to plead his/her case at the first general meeting, but has no voting rights.

18.

Honorary members

18.1 With the approval of the general meeting, the board of directors may appoint such persons that are especially worthy according to GAME's standards, to be honorary members. The business of the general meeting is a vote for and against only. 18.2 Honorary members are entitled to attend the general meetings. They do not undertake any obligations on their appointment, which means life-long free membership and free access to all events.
